1. Acceptance of Terms

Welcome to MarketShare Masters LLC (“MarketShare Masters,” “MSM,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) govern use of our website and the marketing, advertising, consulting, and related services we provide.

By affirmatively accepting these Terms during service enrollment, executing a service agreement, or otherwise expressly agreeing to them, you enter into a binding agreement with MarketShare Masters LLC.

If you are accepting these Terms on behalf of a nonprofit, business, or other organization, you represent that you have the authority to bind that organization.

Use of our website is also subject to applicable website policies, including our Privacy Policy.

Where an individually executed service agreement or statement of work conflicts with these Terms, the individually executed agreement controls for the services it covers.

2. Services Provided

MarketShare Masters LLC provides marketing, advertising, and related professional services to nonprofit organizations, businesses, and other eligible clients.

Services may include:

  • Google Ad Grants eligibility evaluation, application assistance, account setup, campaign management, and optimization.
  • Google Ads and other paid digital advertising.
  • Traditional advertising, media planning, and media buying.
  • Marketing strategy and consulting.
  • Social media advertising and management.
  • Google Business Profile management.
  • Website, landing page, and conversion optimization.
  • Analytics, tracking, reporting, and performance evaluation.
  • Marketing automation and customer relationship management services.
  • Other marketing and technology services offered by MSM.

Specific deliverables, pricing, timelines, and service limitations are defined by the package, proposal, enrollment confirmation, or written agreement accepted by the client.

MSM may utilize qualified employees, independent contractors, freelancers, and specialized service partners to fulfill its obligations.

3. Google Ad Grants Services

MarketShare Masters LLC assists qualifying nonprofit organizations in applying for, activating, managing, and optimizing Google Ad Grants accounts.

MSM is an independent marketing services provider and is not Google or the administrator of the Google Ad Grants program.

3.1 Eligibility and approval

Google determines nonprofit eligibility, grant approval, participation requirements, account restrictions, and ongoing compliance.

Although MSM may assist with eligibility reviews, applications, technical corrections, and reconsideration requests, MSM cannot guarantee initial approval, continued eligibility, account reinstatement, or uninterrupted participation.

3.2 Grant advertising value

Google Ad Grants currently provides eligible nonprofit organizations with access to up to $10,000 per month in in-kind Google Search advertising, subject to program requirements.

These advertising credits:

  • Are not cash payments.
  • Cannot be withdrawn, sold, or transferred.
  • Are not payments to MSM or the nonprofit.
  • Do not accumulate or carry over when unused.
  • May not be fully utilized in any given month.

The actual advertising value delivered depends on search demand, campaign performance, account eligibility, and Google’s applicable policies.

3.3 Compliance and program changes

MSM uses commercially reasonable efforts to operate managed accounts in accordance with applicable Google Ad Grants policies.

Google may modify requirements, disapprove advertising, suspend accounts, restrict participation, or discontinue the program at its discretion.

MSM is not responsible for Google’s independent decisions or policy changes, but will provide assistance consistent with the client’s purchased service package.

3.4 Client account ownership

The nonprofit organization retains ownership and administrative control of its Google for Nonprofits and Google Ad Grants accounts.

MSM and its authorized personnel may receive appropriate account access solely to perform contracted services.

MSM does not acquire ownership of the nonprofit’s grant or advertising account.

4. Client Responsibilities

Clients agree to provide accurate, complete, and timely information reasonably required for MSM to perform its services.

Responsibilities may include:

  • Providing truthful organizational and eligibility information.
  • Maintaining nonprofit, business, and advertising platform eligibility.
  • Granting necessary account and website permissions.
  • Providing approved logos, content, branding, and marketing materials.
  • Reviewing and approving work when reasonably requested.
  • Maintaining functional websites and conversion destinations, except where maintenance is included in the selected service.
  • Complying with applicable laws, privacy requirements, and third-party advertising policies.

Clients represent that they have appropriate rights to any materials supplied to MSM.

Delays or performance limitations arising from missing information, delayed approvals, inaccessible accounts, or other client-controlled circumstances may affect service delivery.

5. Service Packages and Scope of Work

MSM may provide standardized service packages, recurring subscriptions, project-based services, and customized engagements.

Each service is limited to the scope expressly described in the accepted package, proposal, enrollment confirmation, or agreement.

Additional services outside the agreed scope may require separate approval and additional fees.

MSM will not charge for optional additional services without authorization.

Deliverables and schedules may be adjusted by mutual agreement.

6. Pricing, Billing, and Service Commitments

6.1 General pricing

Clients agree to pay the prices disclosed and accepted during enrollment or through a written service agreement.

Service fees generally exclude advertising expenditures, third-party software, hosting fees, and other external charges unless expressly stated otherwise.

6.2 Month-to-month services

Clients selecting month-to-month services pay the applicable standard monthly rate without a long-term service commitment.

Services renew monthly until canceled under Section 7.

6.3 Discounted fixed-term agreements

MSM may offer reduced monthly pricing to clients who agree to a specified service commitment, including six-month, twelve-month, or other agreed terms.

Clients selecting a discounted fixed-term agreement receive the stated discounted price in exchange for their agreed commitment.

The client may terminate the agreement early under the discount repayment provisions in Section 7.

A discounted fixed-term agreement may be billed monthly or prepaid, as specified during enrollment.

Monthly billing does not convert a fixed-term agreement into a month-to-month agreement.

6.4 Enrollment disclosures

Before a client enrolls, MSM will disclose:

  • Selected service package.
  • Standard month-to-month price.
  • Discounted price, when applicable.
  • Length of any fixed-term commitment.
  • Billing frequency and payment amount.
  • Total scheduled cost for the initial commitment.
  • Early termination and discount repayment terms.
  • Applicable renewal arrangements.

The client’s affirmative acceptance of these disclosures forms part of the service agreement.

6.5 Payment processing

MSM may process payments through Stripe or another authorized payment processor.

Clients authorize charges according to their selected billing arrangement and agree to maintain valid payment information.

Accepted payment methods may include credit cards, debit cards, and ACH direct debit.

6.6 Failed or overdue payments

If a payment fails, MSM may notify the client, request updated information, or retry payment when authorized.

MSM may suspend services for material nonpayment after reasonable notice.

Suspension does not eliminate amounts legitimately owed for services provided.

6.7 Pricing changes

MSM may change published prices for future enrollments.

Prices for existing fixed-term agreements will remain unchanged throughout the applicable term unless both parties agree otherwise in writing.

Any changes to ongoing month-to-month pricing will be communicated before taking effect.

7. Cancellation, Early Termination, and Refunds

7.1 Month-to-month agreements

Month-to-month clients may cancel their recurring services at any time before the next scheduled billing date.

Cancellation becomes effective at the end of the current paid service period unless otherwise agreed.

No early termination fee applies to month-to-month services.

7.2 Discounted fixed-term agreements

Clients who select discounted fixed-term pricing agree to a specified minimum service term in exchange for receiving a reduced monthly rate.

Clients may cancel before the completion of their commitment by repaying the difference between the discounted rate they received and the standard month-to-month rate that would otherwise have applied during the completed portion of their service.

This repayment is intended to recover the conditional pricing discount already provided, rather than collect fees for future services that will not be performed.

Clients are not required to pay the remaining months of their original commitment solely because they choose to terminate early.

7.3 Calculation of early termination discount repayment

The discount repayment is calculated as follows:

(Standard Monthly Rate − Discounted Monthly Rate) × Completed Discounted Service Months = Discount Repayment

For illustration only:

  • Standard monthly rate: $400
  • Discounted twelve-month rate: $300
  • Monthly discount: $100
  • Client cancels after four completed months.

Discount Repayment: $100 × 4 = $400

In this example, the client would owe $400 in previously received discounts, rather than the remaining eight months of service fees.

The standard and discounted rates used in the calculation will be those expressly disclosed and accepted at enrollment, not subsequently increased published rates.

Only months for which the client actually received the discounted service price are included. Partial periods, prepaid services, and any credits or refunds will be reconciled to avoid double charging.

The discount repayment will not exceed the total discount actually received during the agreement.

7.4 Notice and effective cancellation date

Clients may submit a cancellation request through the cancellation method provided during enrollment or by contacting MSM through its designated service contact.

MSM will acknowledge the request and provide confirmation of:

  • The effective cancellation date.
  • Any unpaid fees for services already provided.
  • Any applicable discount repayment.
  • Any applicable credit or refund.
  • The final amount owed or refundable.

Clients may request cancellation at any time. The effective cancellation date will be the end of the current paid service period unless an earlier date is mutually agreed or required by law.

7.5 Completion of a fixed-term agreement

After a client fulfills the original fixed-term commitment, the associated early termination discount repayment requirement expires.

Unless the parties agree otherwise, ongoing services may continue month-to-month at the applicable rate disclosed to the client before the transition.

A new fixed-term commitment, including any new annual agreement, requires affirmative client acceptance.

MSM will not automatically enroll clients into another fixed-term commitment without their agreement.

7.6 Refunds

Unless required by applicable law or otherwise expressly agreed:

  • Fees for services already performed are nonrefundable.
  • Partial service-period refunds are not automatically provided.
  • Outstanding fees for completed services remain payable.
  • Applicable prepaid amounts for services not provided will be reconciled at termination.
  • Discount repayment is calculated only on discounts actually received.

7.7 Termination by MSM

MSM may terminate services for material nonpayment, unlawful activity, material violations of these Terms, or circumstances preventing reasonable service performance.

If MSM terminates an agreement without client fault before completing the committed term, the client will not owe a discount repayment solely because of that termination.

Applicable prepaid fees for services MSM will not provide will be refunded.

If termination results from a material client breach, amounts otherwise properly due may remain payable, subject to applicable law and the accepted agreement.

7.8 Client convenience and fairness

The intent of MSM’s discounted-term pricing is to reward clients for longer commitments while allowing reasonable flexibility if their circumstances change.

Any early termination amount will be based on disclosed pricing and the actual discount received, rather than a penalty based on the full remaining service term.

8. Advertising Results and Performance Disclaimer

MSM strives to provide professional, effective marketing services and improve clients’ advertising performance.

However, specific advertising, fundraising, sales, or business outcomes are not guaranteed unless an express written guarantee states otherwise.

Results may depend on:

  • Market conditions and competition.
  • Search demand and audience behavior.
  • Advertising platform algorithms and policies.
  • Website performance and conversion experience.
  • The client’s products, services, and messaging.
  • Advertising budgets and grant restrictions.
  • Third-party technologies and account limitations.

Testimonials, projections, examples, and historical performance results do not guarantee future outcomes.

MSM agrees to provide the contracted services professionally, but does not guarantee a particular number of clicks, donations, leads, conversions, customers, or revenue.

9. Third-Party Platforms and Services

MSM may use or manage services involving Google, Meta, WordPress, GoHighLevel, Stripe, analytics providers, hosting services, and other technology or advertising platforms.

These platforms operate independently and may impose their own policies, technical requirements, restrictions, and charges.

MSM is not responsible for third-party outages, policy changes, account suspensions, technical failures, or other matters beyond its reasonable control.

MSM will make commercially reasonable efforts to assist with applicable third-party issues within the scope of the services purchased.

10. Intellectual Property and Client Materials

Clients retain ownership of their preexisting trademarks, logos, organizational information, customer data, and other materials provided to MSM.

Clients grant MSM limited permission to use these materials as necessary to perform contracted services.

Upon full payment, clients receive ownership of original, client-specific marketing materials created specifically for them under the agreed scope, excluding MSM’s preexisting intellectual property and third-party licensed assets.

MSM retains ownership of its proprietary processes, templates, methodologies, software, business systems, and general professional know-how.

Third-party materials remain subject to their respective license conditions.

11. Confidentiality and Data Protection

MSM will use commercially reasonable measures to protect confidential client information and use it only for authorized business purposes.

Information may be shared with authorized personnel, contractors, technology providers, and service partners as reasonably necessary to deliver contracted services, subject to appropriate confidentiality and security obligations.

MSM’s collection and use of personal information is further described in its Privacy Policy.

Clients must not submit protected health information or other specially regulated sensitive information through ordinary forms, accounts, or communications unless MSM has expressly agreed in writing to appropriate handling procedures.

Where legally required, specialized data protection agreements, including HIPAA Business Associate Agreements, must be executed before regulated information is exchanged.

12. Website Use

Visitors agree to use the MSM website for lawful purposes.

Users may not:

  • Attempt unauthorized access to MSM systems.
  • Interfere with website functionality or security.
  • Transmit malicious software or harmful code.
  • Submit fraudulent or intentionally misleading information.
  • Infringe MSM’s or others’ intellectual property rights.
  • Use the website for illegal or unauthorized commercial activities.

MSM may restrict access or take appropriate action in response to misuse.

13. Communications

By contacting MSM or enrolling in services, clients authorize necessary communications concerning inquiries, onboarding, scheduling, service delivery, billing, and account matters.

Communications may occur through email, telephone, or other authorized channels.

Marketing emails will provide applicable unsubscribe options.

MSM will obtain legally required consent before sending automated marketing text messages or calls. Acceptance of these Terms alone does not constitute consent to receive such communications.

14. Limitation of Liability

To the maximum extent permitted by applicable law, MarketShare Masters LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from its website or services, including lost revenue, donations, business opportunities, or anticipated advertising results.

To the maximum extent permitted by law, MSM’s aggregate liability arising from a particular service shall not exceed the fees paid to MSM for that service during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be restricted, including liability arising from fraud, intentional misconduct, or other conduct for which limitation is prohibited by law.

15. Disclaimer of Warranties

MSM’s website and general informational content are provided on an “as available” basis.

MSM does not guarantee that its website will be uninterrupted, error-free, or free of security vulnerabilities.

MSM agrees to perform contracted professional services with reasonable care and competence.

Except for express written commitments and warranties that cannot legally be excluded, additional warranties are disclaimed to the extent permitted by law.

16. Electronic Agreements and Acceptance

MSM may provide enrollment forms, proposals, service agreements, payment authorizations, and related documentation electronically.

Clients agree that electronic signatures, affirmative checkbox acceptance, and other legally valid electronic acknowledgment methods may be used to establish agreement to the applicable terms.

MSM may maintain electronic records documenting:

  • The client’s organization and authorized representative.
  • The service package selected.
  • Accepted pricing and billing frequency.
  • Commitment duration.
  • Applicable discount and early termination provisions.
  • The version of these Terms accepted.
  • Date and time of acceptance.
  • Other relevant transaction details.

Electronic records may be maintained as evidence of the parties’ agreement, subject to applicable law.

17. Changes to Services and Terms

MSM may update its website, published service offerings, and these Terms to reflect operational, regulatory, or business changes.

Updated Terms will be published with a revised effective date.

Changes will not retroactively alter agreed fixed-term pricing, commitment periods, or early termination calculations.

Material changes affecting existing contractual obligations will require appropriate notice and, where legally required, consent.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Minnesota, except where applicable law requires otherwise. The parties agree to attempt to resolve disputes through good-faith communication before pursuing formal legal action. Unless otherwise required by law or separately agreed, legal proceedings shall be brought in the appropriate state or federal courts located in Hennepin County, Minnesota.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

20. Entire Agreement

These Terms, together with the applicable accepted enrollment details, service agreements, and relevant website policies, govern the relationship between MSM and its clients. More specific accepted service agreements control if conflicts arise concerning the services they cover.
